1. Agreement to Terms

By accessing or using DocuQuire ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and DocuQuire ("we," "us," or "our"). Your use of the Service is also governed by our Privacy Policy.

2. Description of Service

DocuQuire is a Software-as-a-Service (SaaS) platform designed for Canadian mortgage professionals to collect, manage, and securely transmit mortgage-related documents. The Service facilitates:

  • Document request creation and management
  • Secure document upload and storage
  • Document sharing with lenders and brokerages
  • Real-time status tracking and notifications
  • Subscription-based access to platform features

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and a licensed mortgage professional or authorized representative of a mortgage brokerage in Canada to use the Service. By registering, you represent and warrant that:

  • You are of legal age to form a binding contract
  • You have the authority to enter into these Terms
  • All information you provide is accurate, current, and complete
  • You will maintain and update your information to keep it accurate

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Using a strong, unique password and enabling two-factor authentication if available

4. Subscription Plans and Billing

4.1 Subscription Tiers

DocuQuire offers multiple subscription plans (Basic, Plus, Pro, and Enterprise) with different features and pricing. Current pricing and plan details are available on our website and may be updated from time to time.

4.2 Billing

  • Payment: Subscriptions are billed in advance on a monthly or annual basis, as selected by you
  • Payment Method: You must provide a valid payment method (credit card or other accepted method) through our payment processor, Stripe
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
  • Price Changes: We reserve the right to modify subscription prices with 30 days' notice to existing subscribers
  • Refunds: Refunds are provided in accordance with our refund policy, typically for unused portions of cancelled subscriptions

4.3 Free Trial

New users may be eligible for a free trial period. If you cancel during the trial period, you will not be charged. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged according to your selected plan.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@docuquire.com. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period for which you have already paid.

5. User Responsibilities and Acceptable Use

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Upload, transmit, or store any content that is illegal, harmful, or violates any applicable laws or regulations
  • Upload documents containing malware, viruses, or other malicious code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service to collect or harvest personal information about other users
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Service for any purpose that violates mortgage industry regulations or professional standards

5.2 Document Accuracy

You are solely responsible for the accuracy, completeness, and legality of all documents you upload or transmit through the Service. We do not verify, validate, or endorse the content of any documents.

5.3 Compliance with Laws

You agree to comply with all applicable Canadian federal, provincial, and local laws and regulations, including but not limited to:

  • Personal Information Protection and Electronic Documents Act (PIPEDA)
  • Mortgage broker licensing requirements
  • Anti-money laundering regulations
  • Consumer protection laws

6. Intellectual Property

Service Ownership: The Service, including all content, features, functionality, and technology, is owned by DocuQuire and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of all documents and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the Service to you.

License to Use: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.

7. Service Availability and Modifications

7.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • System updates or upgrades
  • Technical issues or failures
  • Force majeure events

7.2 Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will provide reasonable notice of material changes that may affect your use of the Service.

8. Data Retention and Deletion

Automatic Deletion: All documents uploaded to the Service are automatically deleted after 90 days from the date of upload. This deletion is permanent and cannot be undone.

Account Deletion: Upon cancellation of your account, we will delete or anonymize your personal information within 30 days, except where retention is required by law or for legitimate business purposes.

You are responsible for maintaining your own backups of any documents or data you wish to retain beyond the 90-day retention period.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCUQUIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services
  • Damages resulting from use or inability to use the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless DocuQuire, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Any content you upload or transmit through the Service
  • Your infringement of any third-party rights

11. Termination

11.1 Termination by You

You may terminate your account at any time by cancelling your subscription through your account settings or by contacting us at support@docuquire.com.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms or our Privacy Policy
  • Engage in fraudulent, illegal, or harmful activities
  • Fail to pay subscription fees when due
  • Use the Service in a manner that poses a security risk

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete or anonymize your data in accordance with our Privacy Policy and these Terms. Sections of these Terms that by their nature should survive termination will survive, including Sections 6, 9, 10, and 12.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

If you are located outside of Canada, you are responsible for compliance with local laws in your jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending an email notification to the address associated with your account (for material changes)

Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DocuQuire regarding the Service and supersede all prior agreements, understandings, or communications.
